In accordance with Section 17(b) of the Securities Act of 1933, as amended, pursuant to a Marketing/Publication Agreement between an Affiliate of ?????? and ????????? Inc., such Affiliate has agreed to provide consulting services to ??????. In consideration for providing such services, the Affiliate is to receive up to 19 million shares of common stock ???????? Inc. and 12 million warrants to purchase common stock of ?????, Inc. upon the completion of certain milestones outlined in the Agreement. This is an inherent conflict of interest.
Inherent Conflict of Interest:
An Affiliate of ???????? (the “Affiliate”) has purchased shares of common stock of ????????, Inc. in private placements under the registration exemptions of the Securities Act of 1933, as amended, and anticipates doing so in the future. The Affiliate intends to sell its shares in the event the shares rise in value. The Affiliate may sell its shares for less than target prices. This creates an inherent conflict of interest.
